Our website, located at www.quralis.com (the “Site“) is provided by QurAlis Corporation (“QurAlis”, “we,” “our,” or “us“) to the person accessing the Site (“you,” “your,” or “user”). 

Acceptance of Agreement. Your access to and use of the Site is subject to the following terms and conditions (these “Terms”) and all applicable laws. By accessing and browsing the Site, you accept and agree to, without limitation or qualification, these Terms and acknowledge that any other agreements between you and QurAlis are superseded and of no force or effect with respect to your access and use of the Site. Any reference in these Terms to QurAlis refers, collectively, to QurAlis Corporation and all of its current and future affiliates.

These Terms include our Privacy Policy, which is hereby incorporated by reference (“Privacy Policy“).  Please read the Privacy Policy, as it explains how we handle any personal information we receive from you. By accessing this Site you hereby agree to the Privacy Policy, and acknowledge that any information you transmit to us (via the Site or otherwise), including questions, comments, or feedback, will be treated as non-confidential and non-proprietary to you.

1. Use of the Site. QurAlis maintains the Site for your personal information, education, and communication. Please feel free to browse the Site. You may download material displayed on the Site for non-commercial, personal use only, provided you maintain all copyright and other proprietary notices contained on the materials. Impersonation of others, including a QurAlis employee, host, or representative, or other users on the Site, is prohibited. QurAlis does not represent or warrant that access to the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the server that makes the Site available are free of viruses or other harmful components. QurAlis does not make any warranties or representations regarding the use of the materials provided via the Site. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you.

Indemnification. You agree to indemnify, defend, and hold harmless QurAlis, its officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Site using your account and/or credentials.

You agree not to change or delete any proprietary notices from materials printed or downloaded from the Site.

10. Governing Law and Jurisdiction. These Terms, and your use of the Site, are governed by the laws of the Commonwealth of Massachusetts, without regard to its choice of law provisions. The courts of general jurisdiction located within Boston, Massachusetts, will have exclusive jurisdiction over any and all disputes arising out of, or relating to these Terms or the Site.

11. Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. QurAlis may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

12. Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between QurAlis and you regarding the Site and these Terms supersede and replace any and all prior oral or written understandings or agreements between QurAlis and you regarding the Site.
